CRM RFP Liability and Insurance
The Customer Relationship Management (CRM) Service Provider shall indemnify and hold our organization, its officers, directors, employees, and agents harmless from any claims, liability, damage or expense arising out of Service Provider's performance or nonperformance of the Services under this Agreement, including, but not limited to, injury to or death of any person (including employees), damage to or destruction of property, payment of taxes, payment of any compensation to Service Provider's employees, and reasonable attorney's fees and expenses.
CRM Service Provider agrees to indemnify, defend and hold harmless our organization, its officers, directors, employees, and agents against any damage (including reasonable attorney's fees and expenses), suit, or proceeding brought against our organization for patent, copyright, trade secret or other proprietary right infringement arising out of the Services performed by Service Provider under this Agreement ("Infringement Claim"). We shall give Service Provider prompt written notice of the Infringement Claim, allow Service Provider the sole control of the defense or settlement of the Infringement Claim, and provide Service Provider with assistance, information and authority reasonably necessary to carry out Service Provider's obligations. Service Provider shall reimburse our organization its reasonable out-of-pocket expenses incurred in providing such assistance.
CRM Service Provider shall maintain throughout the term of this Agreement: Workers' Compensation insurance with statutory limits and Employer's Liability insurance in an amount not less than $500,000; and Commercial General Liability insurance with a combined single limit for bodily injury and property damage of not less than $500,000 per occurrence.
